1. Acceptance of Terms

Welcome to Pombo Labs ("Pombo Labs," "we," "us," or "our"). Pombo Labs is a software development and AI research company. Our Research division pioneers Human-Centered AI, while our Studio division builds production-grade software for businesses and organizations. Our Services include this website (pombolabs.com), open‑source software repositories, tools and publications, client software projects, and related resources (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.If you do not agree with any part of these Terms, you must not use our Services. Separate written agreements (for example, a Data Use Agreement, Memorandum of Understanding, or clinical study protocol) may apply to specific collaborations and will take precedence in the event of conflict.

2. Use of Our Services

You agree to use the Services only for lawful purposes and in accordance with these Terms, all applicable regulations, and any additional documentation or license terms that accompany specific research outputs.

2.1 Research & Informational Nature

Important: Our research tools and prototypes are provided for research and educational purposes. Production software delivered through our Studio division is governed by separate client agreements. Open-source tools are provided as-is under their respective licenses.

2.2 User Accounts

Some Services may require you to create an account. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Promptly notify us at security@pombolabs.com of any unauthorized use.

2.3 Acceptable Use

You must not:

• Deploy or integrate experimental models in clinical workflows without appropriate ethical approval and regulatory clearance.
• Infringe upon, violate, or misappropriate any person’s privacy, data‑protection, or intellectual‑property rights.
• Reverse‑engineer, decompile, or attempt to derive source code from compiled binaries, except where permitted by the relevant open‑source license.
• Introduce malware or take actions that could disrupt or degrade the Services.

3. Intellectual Property Rights

3.1 Pombo Labs Content

Unless otherwise noted, all content and functionality within the Services including software code, scientific manuscripts, graphics, and datasets are the property of Pombo Labs or its licensors and are protected by international copyright, trademark, and other intellectual‑property laws.

Open‑source releases are governed by their individual licenses (e.g., MIT, Apache‑2.0, or Creative Commons). Where those licenses conflict with these Terms, the open‑source license controls your use of that specific asset.

3.2 User Contributions

If you contribute code, data, or other materials (collectively, “User Content”) you grant Pombo Labs a worldwide, royalty‑free, non‑exclusive licence to use, reproduce, modify, and distribute your contribution for the purpose of operating and improving the Services and associated research projects, consistent with any contributor agreement you sign.

4. Privacy and Data Protection

Our Privacy Policy explains how we collect, use, store, and protect personal information including video, audio, and physiological data that you or your organization may upload. By using the Services, you consent to those practices.

THE SERVICES AND ALL RESEARCH OUTPUTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. POMBO LABS MAKES NO REPRESENTATIONS OR GUARANTEES REGARDING FITNESS FOR A PARTICULAR PURPOSE OR REGULATORY COMPLIANCE. USE OF OUR EXPERIMENTAL TOOLS AND RESEARCH PROTOTYPES IS ENTIRELY AT YOUR OWN RISK.

5.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POMBO LABS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Changes to Terms or Services

We continually improve our research and may modify or discontinue Services at any time. We will post any material changes to these Terms on this page. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

7. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Commonwealth of Pennsylvania (USA), without regard to conflict-of-law principles. Any dispute that cannot be resolved amicably will be resolved exclusively in the state or federal courts located in Philadelphia County, Pennsylvania, and you consent to the jurisdiction of such courts.
